Authentication NFT Terms & Conditions

CONTRACT FOR SALE OF GOODS AND AUTHENTICATION NFT

Privé Porter, LLC (“Prive”), having a business address at 701 S. Miami Ave., Suite 128A, Miami, FL 33131 (legal@priveporter.com; ph. 646-226-1695) and Buyer, upon Buyer’s payment of the agreed-to price (the “Price”) for the specifically identified goods (the “Goods”) and the unique Authentication NFT (“ANFT”) describing the Goods, hereby agree to the following terms. PAYMENT OF THE PRICE TO PRIVE IS BUYER’S ACCEPTANCE OF THIS CONTRACT.

Section A. Transfer or In-Store Custodial Service

Option 1: Prive agrees to transfer and deliver (“Redemption”) to Buyer the Goods within reasonable time after Buyer pays the Price for the Goods and ANFT to Prive. ANFT will be transferred to and content unlockable for Buyer upon payment of the Price. Redemption, in no other circumstance or cause, will take place unless Buyer follows the unique data needed and method which is in the UNLOCKABLE CONENT of the ANFT.

Option 2: At the Buyer’s request, Prive will hold the Goods for the benefit of Buyer at Prive’s store or, at Prive’s option, in the Privé Storage Vault. Upon Buyer’s request and during Prive’s normal store hours, Buyer may take possession of the Goods provided that (i) Buyer establish his or her ownership of the Goods by following the unique data needed and method which is in the UNLOCKABLE CONENT of the ANFT and (ii) Buyer give reasonable notice to Prive that Buyer wishes to take possession of the Goods. While holding the Goods for the benefit of Buyer, Prive will maintain on its website, what is in its Privé Storage Vault, (“PSV”), establishing its possession of the Goods. PSV webpage is accessible to the public for the education for all potential Buyers and Sellers.

Section B. Payment

The Goods and ANFT belong to the Buyer after full payment of the Price to Prive. Payment of the Price to Prive is Buyer’s acceptance of this Contract. 

Section C. Shipment

Buyer may request Prive to ship the Goods to the Buyer at any time, however Prive may require specific confirmation of the Buyer’s address and contact information prior to shipment of the Goods to the Buyer at Buyer’s expense, including insurance if Buyer elects to have shipping insurance.

Section D. Inspection

Buyer has the right to examine the Goods after payment of the Price. Upon Buyer’s request, and during Prive’s normal store hours, Buyer may inspect the Goods provided that Buyer establish his or her ownership, as described herein, of the Goods and that Buyer give reasonable notice to Prive of such inspection. 

Section E. Purpose of Authentication NFT

ANFT is provided to Buyer for authentication of the Goods, and as title for the Goods, in the event Buyer wishes to resell the Goods. Buyer acknowledges that the ANFT is uniquely linked to the 3D image of the Goods and ownership of the Goods and the ANFT should not be separated.

Section F. Advice to Secondary Buyers

Prive warrants that the Goods are new when initially sold by Prive to the first Buyer. However, to ensure successful, confident transactions for all follow-on Buyers and Sellers, remember there are only two parties which can confirm the Goods correspond with its ANFT: Prive and the ANFT owner. Also, once the Goods leave PSV at any time, Prive cannot assure the as-new condition of the Goods. Although we encourage all owners to use PSV, Prive has no control over what each owner does with the Goods not maintained in PSV.

Section G. Warranty

Prive warrants that the Goods are free from any and all security interests, liens, and encumbrances. Prive has taken all reasonable steps to assure itself that the Goods are genuine.

Section H. Dispute Resolution

Any dispute or claim arising from or relating to this Contract shall be resolved by the courts in Miami Dade County, Florida, and Buyer agrees that such courts have personal jurisdiction over Buyer and Prive.
